OWPS
End-User License Agreement
Effective August 27, 2026
This End-User License Agreement (the "Agreement") is a binding agreement between OWPS ("OWPS", "we", "us") and the individual or entity accessing the OWPS Financial Console application (the "Application"). By installing, connecting, or using the Application you accept this Agreement. If you do not accept it, do not use the Application.
1. Licence grant
Subject to your continued compliance with this Agreement, OWPS grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Application solely for internal business reporting and financial management purposes.
2. Permitted users
The Application is an internal tool. Access is limited to employees, officers, and contractors of OWPS who have been expressly authorized. You are responsible for all activity that occurs under credentials issued to you and must not share those credentials.
3. QuickBooks Online connection
The Application connects to Intuit QuickBooks Online using the Intuit Accounting API and the OAuth 2.0 authorization framework. By authorizing the connection you confirm that you have the authority to grant the Application access to the relevant QuickBooks company, and you authorize the Application to read accounting records from that company for reporting purposes.
- The Application requests only the scopes required to read accounting data.
- Access may be revoked at any time from the Disconnect page in the Application or from within QuickBooks Online.
- Intuit is not a party to this Agreement and is not responsible for the Application.
4. Restrictions
You must not, and must not permit any third party to:
- copy, modify, translate, or create derivative works of the Application;
- reverse engineer, decompile, or disassemble any part of the Application;
- rent, lease, sell, sublicense, or otherwise make the Application available to others;
- use the Application to store or transmit unlawful, infringing, or malicious material;
- attempt to gain unauthorized access to the Application, its infrastructure, or connected accounting data;
- use the Application in a manner that violates the Intuit Developer Terms of Service or any applicable law.
5. Ownership
The Application is licensed, not sold. OWPS and its licensors retain all right, title, and interest in and to the Application, including all intellectual property rights. Accounting data retrieved from QuickBooks Online remains the property of its owner.
6. Data and confidentiality
Financial information displayed by the Application is confidential. You must not disclose it outside OWPS except where required by law or authorized in writing. Our handling of data is described in the Privacy Policy, which forms part of this Agreement.
7. Availability and support
The Application is provided on an as-available basis. We may modify, suspend, or discontinue any part of it at any time, including to perform maintenance or to respond to changes in the Intuit Accounting API. Support requests may be sent to support@owps.com.
8. Disclaimer of warranties
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Figures presented by the Application are derived from third-party accounting data and are provided for informational purposes only. They are not accounting, tax, or legal advice and should be reconciled against your books of record before being relied upon.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE APPLICATION.
10. Term and termination
This Agreement remains in effect until terminated. It terminates automatically if you breach any of its terms, and OWPS may terminate or suspend your access at any time. On termination you must stop using the Application; we will disconnect the QuickBooks authorization and delete stored tokens.
11. Changes to this Agreement
We may update this Agreement from time to time. The effective date at the top of this page will be revised, and continued use of the Application after an update constitutes acceptance of the revised terms.
12. Governing law
This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware.
